1. Service Scope This agreement covers the ongoing management of Digital Marketing services which may include Google Business Profile optimisation, Search Engine Optimisation (SEO), and Google Ads management. Where specified, it also includes Managed Website Hosting and Domain Name management.

2. Monthly Retainer & Payment Terms

• Payment in Advance: All monthly service fees are billed in advance. Invoices are issued each month and are due within 7 days.
• Automatic Renewal: Services operate on a month-to-month basis. This agreement automatically renews each month unless cancelled in writing with 30 days’ notice.

3. Late Payment & Service Suspension (SEO & Marketing) To maintain the integrity of your marketing campaigns and search rankings, consistent management is required.

• If an invoice remains unpaid for 30 days past the due date, all SEO and Digital Marketing activities (including Google Ads management and Profile updates) will be suspended immediately.
• Brag design is not liable for any drop in rankings, ad performance or lead generation resulting from service suspension due to non-payment.

4. Hosting & Domain Suspension (The “40-Day Rule”) Where Brag Design provides website hosting or domain services, these are critical infrastructure.

• Warning Period: You will receive multiple automated email reminders if an invoice becomes overdue.
• Account Suspension: If an account remains unpaid 40 days after the invoice due date, your Cpanel account and all associated services (Website and Email) will be suspended.
• Reactivation Fee: A fee of $50+GST applies to reactivate a suspended hosting account once the outstanding balance is cleared.

5. Google Ads & Third-Party Spend The Client acknowledges that Google Ads “Ad Spend” is paid directly to Google via the Client’s linked credit card. The Developer’s fee is for management and optimisation only. If management fees are not paid, Brag Design reserves the right to pause all active campaigns.

6. Ownership & Access Upon full payment of all outstanding invoices, the Client retains ownership of all marketing data and creative assets. However, proprietary optimisations and internal strategies used by the Developer remain the intellectual property of the Developer.
